Introduction and Acceptance of Terms

Welcome to OpsPilot by Culinary Compass ("OpsPilot", "Service", "Platform", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the OpsPilot mobile application, web application, website, and any related products, features, content, or services (collectively, the "Services") provided by Culinary Compass Advisors LLP ("Company").

OpsPilot is a workforce operations and performance management platform designed to help organizations manage tasks, workflows, checklists, audits, operational processes, communication, reporting, analytics, and related business activities.

By accessing, registering for, or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of a company, restaurant, hotel, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms "you" and "your" refer to both the individual user and the entity they represent.

Your use of the Services is also subject to our Privacy Policy, available at https://opspilot.culinarycompass.in/privacy-policy which explains how we collect, use, store, and protect information.

We reserve the right to modify these Terms from time to time. Continued use of the Services following the publication of updated Terms constitutes acceptance of the revised Terms.

Eligibility and Account Registration

Eligibility

To access or use the Services, you must:

  • 1Be at least 13 years of age or the age of majority in your jurisdiction;
  • 2Have the legal capacity to enter into a binding agreement;
  • 3Use the Services in compliance with these Terms and all applicable laws and regulations; and
  • 4Be authorized to access the Services if acting on behalf of an organization.

The Services are intended for business and professional use and are not designed for personal, household, or consumer use.

Account Registration

Access to certain features of the Services requires the creation of an account.

Accounts may be established through various methods, including:

  • Direct registration by an authorized organization;
  • Invitation by a Super Administrator, Administrator, or other authorized user;
  • Self-registration following receipt of a valid invitation; or
  • Other account creation methods made available by the Company from time to time.

Users may be required to provide accurate and complete information during registration, including contact details and other information necessary to create and maintain an account.

You agree to keep your account information accurate, current, and complete at all times.

Authentication and Security

Users may access the Services using authentication methods made available by the Company, including:

  • Email and password authentication;
  • One-Time Password (OTP) verification;
  • Third-party authentication providers; or
  • Other authentication mechanisms introduced from time to time.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to promptly notify us of any unauthorized access, suspected security breach, loss of credentials, or misuse of your account.

Organizational Accounts

Many OpsPilot accounts are associated with an organization, business, restaurant, hotel, or other entity.

Organizations may control and manage:

  • User invitations;
  • User roles and permissions;
  • Access to operational records and analytics;
  • Account administration; and
  • Certain account settings and organizational data.

Authorized organizational administrators may add, modify, suspend, or remove user access in accordance with the organization's internal policies.

Account Suspension or Termination

We reserve the right to refuse registration, suspend access, restrict functionality, or terminate accounts that:

  • Violate these Terms;
  • Present security, legal, or operational risks;
  • Contain inaccurate or misleading information; or
  • Are used in a manner that may harm the Services, other users, or third parties.

Acceptable Use and User Responsibilities

Responsible Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You are responsible for all activities conducted through your account and for ensuring that your use of the Services complies with applicable laws, regulations, organizational policies, and industry standards.

You agree to use the Services in a manner that does not interfere with, disrupt, damage, or impair the operation, security, availability, or integrity of the Services.

User Content and Information

You are solely responsible for any information, content, files, communications, images, recordings, documents, tasks, comments, or other materials that you create, upload, submit, transmit, store, or share through the Services ("User Content").

You represent and warrant that:

  • You have the necessary rights, permissions, and authority to submit User Content;
  • Your User Content does not violate any law, regulation, contractual obligation, intellectual property right, privacy right, or other third-party right;
  • Your User Content is accurate to the best of your knowledge; and
  • Your use of the Services will not cause harm to the Company, other users, or third parties.

Prohibited Activities

You agree not to:

  • Use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose;
  • Violate any applicable law, regulation, court order, or governmental requirement;
  • Impersonate any person, organization, or entity, or falsely represent your affiliation with any person or entity;
  • Attempt to gain unauthorized access to the Services, user accounts, systems, networks, or data;
  • Circumvent, disable, interfere with, or compromise any security feature of the Services;
  • Upload, transmit, distribute, or store malicious code, viruses, malware, ransomware, spyware, or other harmful technologies;
  • Interfere with or disrupt the operation of the Services or the experience of other users;
  • Use automated tools, bots, scripts, crawlers, or scraping technologies to access, monitor, extract, or collect information from the Services without prior written authorization;
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying algorithms, or proprietary technology of the Services except where expressly permitted by applicable law;
  • Use the Services to transmit spam, unsolicited communications, or abusive content;
  • Upload or share content that is defamatory, harassing, threatening, discriminatory, obscene, hateful, or otherwise objectionable;
  • Use the Services in a manner that could damage the reputation, operations, security, or business interests of the Company or other users.

Monitoring and Enforcement

We reserve the right, but not the obligation, to investigate suspected violations of these Terms and to take appropriate action, including:

  • Removing content;
  • Restricting access to certain features;
  • Suspending or terminating accounts;
  • Reporting unlawful conduct to appropriate authorities; and
  • Pursuing any other remedies available under applicable law.

Cooperation with Organizational Policies

If you access the Services through an organization, you agree to comply with that organization's policies, procedures, and authorized administrative controls relating to the use of the Services.

Intellectual Property Rights

Ownership of the Services

The Services, including all software, technology, designs, user interfaces, visual elements, workflows, functionality, features, content, documentation, trademarks, service marks, logos, branding, and other materials provided by or through the Services, are owned by or licensed to Culinary Compass Advisors LLP and are protected by applicable intellectual property, copyright, trademark, trade secret, and other laws.

Except as expressly permitted under these Terms, no right, title, or interest in the Services is transferred to you.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes.

This license does not grant you any ownership rights in the Services or any underlying technology.

Restrictions

Except as expressly permitted by applicable law, you may not:

  • Copy, reproduce, modify, distribute, publish, or create derivative works from the Services;
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, algorithms, or underlying technology of the Services;
  • Remove, alter, or obscure any copyright, trademark, proprietary notice, or branding;
  • Use the Services to develop, support, or create a competing product or service; or
  • Exploit the Services for purposes not expressly authorized by these Terms.

Ownership of User Content

Users and their organizations retain ownership of the information, content, documents, files, images, communications, tasks, records, and other materials that they submit, upload, create, or store through the Services ("User Content").

We do not claim ownership of User Content.

License to Operate the Services

By submitting or storing User Content through the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, analyze, and otherwise use such User Content solely as necessary to:

  • Provide and maintain the Services;
  • Operate requested features and functionality;
  • Generate reports, dashboards, analytics, and operational insights;
  • Improve performance, security, reliability, and functionality of the Services; and
  • Comply with legal obligations and enforce these Terms.

This license continues only for as long as reasonably necessary to provide the Services and fulfill the purposes described in these Terms and our Privacy Policy.

Feedback and Suggestions

If you provide feedback, suggestions, recommendations, ideas, enhancement requests, or other input regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, implement, and incorporate such Feedback without restriction or compensation to you.

Trademarks

"OpsPilot", "Culinary Compass", related logos, branding elements, and associated marks are trademarks, trade names, or proprietary assets of Culinary Compass Advisors LLP or its licensors.

Nothing in these Terms grants any right to use such trademarks without prior written permission.

Subscription, Fees, and Billing

Subscription Plans

The Services may be offered under free, trial, subscription-based, enterprise, or other commercial plans as determined by the Company from time to time.

Features, functionality, usage limits, and access levels may vary depending on the applicable plan.

Fees and Charges

Certain Services may require payment of subscription fees, licensing fees, service fees, implementation fees, support fees, or other charges.

Any applicable fees, pricing, payment terms, and billing arrangements will be communicated to the customer or organization before charges are incurred.

Unless otherwise agreed in writing, all fees are stated in the applicable currency and are payable in accordance with the agreed billing terms.

Organizational Billing

Where access to the Services is provided through an organization, restaurant, hotel, business entity, or enterprise customer, billing obligations may rest with the organization rather than individual users.

Individual users may not have authority to modify, cancel, or manage subscriptions unless authorized by the organization.

Changes to Pricing

We reserve the right to modify pricing, fees, subscription plans, usage limits, and billing structures at any time.

Where required by applicable law or contractual commitments, reasonable notice of material pricing changes will be provided before such changes take effect.

Taxes

Fees do not include applicable taxes, duties, levies, or governmental charges unless expressly stated otherwise.

Customers are responsible for any applicable taxes associated with their use of the Services, excluding taxes imposed on the Company's income.

Suspension for Non-Payment

Where applicable, we reserve the right to suspend, restrict, or terminate access to all or part of the Services if required payments are not received within the applicable payment period.

Reasonable efforts may be made to provide notice before suspension where practicable.

No Refund Obligation

Except where required by applicable law, agreed in writing, or expressly stated in a specific commercial agreement, payments made for subscriptions, licenses, or Services are non-refundable.

Future Commercial Features

The Company may introduce new paid features, premium functionality, subscription tiers, enterprise offerings, integrations, or commercial services in the future. Use of such offerings may be subject to additional terms, pricing, or agreements.

Availability of Services and Service Modifications

Service Availability

We strive to provide reliable and uninterrupted access to the Services. However, we do not guarantee that the Services will be available at all times or operate without interruption, delay, error, or defect.

Access to the Services may be affected by factors beyond our reasonable control, including internet connectivity issues, infrastructure failures, third-party service disruptions, security incidents, maintenance activities, or other unforeseen circumstances.

Maintenance and Updates

We may perform scheduled or unscheduled maintenance, upgrades, updates, repairs, security enhancements, or other modifications to the Services from time to time.

Such activities may temporarily affect the availability, performance, or functionality of the Services.

Where reasonably practicable, we may provide advance notice of planned maintenance activities, but we are not obligated to do so.

Service Modifications

We reserve the right to add, modify, suspend, replace, limit, discontinue, or remove any feature, functionality, integration, content, tool, capability, or portion of the Services at any time.

This may include:

  • Changes to user interfaces;
  • Modifications to workflows and functionality;
  • Introduction of new features or services;
  • Discontinuation of existing features;
  • Changes to usage limits or technical requirements; and
  • Modifications necessary for security, legal, operational, or business reasons.

Third-Party Services and Integrations

Certain features of the Services may depend on third-party platforms, infrastructure providers, communication services, authentication providers, artificial intelligence providers, or other external services.

We are not responsible for interruptions, errors, delays, unavailability, policy changes, or performance issues arising from third-party services that are outside our reasonable control.

Beta and Experimental Features

From time to time, we may offer beta, preview, trial, experimental, or early-access features.

Such features may be incomplete, modified, interrupted, discontinued, or removed without notice and may be subject to additional terms.

Users access such features at their own discretion and risk.

No Guaranteed Outcomes

While the Services are intended to assist organizations with operational management, task execution, reporting, communication, and analytics, we do not guarantee any specific business outcome, operational improvement, productivity increase, financial result, compliance outcome, or performance target arising from the use of the Services.

Disclaimers and Limitation of Liability

Services Provided "As Is"

To the fullest extent permitted by applicable law, the Services are provided on an "as is," "as available," and "with all faults" basis.

Culinary Compass Advisors LLP makes no representation, warranty, or guarantee, express or implied, regarding the availability, reliability, accuracy, completeness, performance, suitability, security, or uninterrupted operation of the Services.

No Professional Advice

The Services, including any reports, dashboards, analytics, recommendations, insights, notifications, or AI-generated outputs, are provided for informational and operational assistance purposes only.

The Services do not constitute legal, financial, accounting, tax, regulatory, employment, compliance, operational, management, or other professional advice.

Users and organizations remain solely responsible for evaluating and implementing business decisions based on information obtained through the Services.

AI-Generated Content Disclaimer

Any content, recommendations, suggestions, task descriptions, subtasks, summaries, or other outputs generated through AI-powered features are provided for convenience only.

AI-generated outputs may contain inaccuracies, omissions, assumptions, or errors and should be independently reviewed and validated before use.

We do not warrant the accuracy, completeness, reliability, or suitability of AI-generated outputs for any particular purpose.

User Responsibility

Users are responsible for:

  • Reviewing information before relying upon it;
  • Maintaining appropriate internal controls and oversight;
  • Verifying operational decisions;
  • Ensuring compliance with applicable laws, regulations, and organizational policies; and
  • Using the Services in a manner appropriate to their business needs.

Limitation of Liability

To the fullest extent permitted by applicable law, Culinary Compass Advisors LLP, its partners, affiliates, officers, employees, contractors, licensors, suppliers, and service providers shall not be liable for any:

  • Indirect damages;
  • Incidental damages;
  • Consequential damages;
  • Special damages;
  • Exemplary damages;
  • Punitive damages;
  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of goodwill;
  • Loss of data;
  • Business interruption; or
  • Any other commercial or economic loss,

arising out of or relating to the use of, inability to use, or performance of the Services, regardless of the legal theory under which such claim is brought.

Maximum Liability

To the fullest extent permitted by applicable law, the total aggregate liability of Culinary Compass Advisors LLP arising out of or relating to the Services shall not exceed:

the amount paid by the applicable customer or organization for the Services during the twelve (12) months immediately preceding the event giving rise to the claim

Exceptions

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law.

Where applicable law does not permit certain exclusions or limitations, such exclusions or limitations shall apply only to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Culinary Compass Advisors LLP, its partners, affiliates, licensors, service providers, officers, employees, contractors, and representatives from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable legal and professional fees) arising out of or relating to:

  • Your access to or use of the Services;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or legal obligation;
  • Any User Content submitted, uploaded, stored, transmitted, or shared through the Services;
  • Your infringement, misappropriation, or violation of any intellectual property, privacy, confidentiality, or other rights of any person or entity;
  • Any dispute between you and another user, organization, employee, contractor, customer, supplier, or third party; or
  • Any negligent, fraudulent, unauthorized, or unlawful act or omission by you.

Where the Services are used on behalf of an organization, business, restaurant, hotel, or other entity, the organization may also be responsible for obligations arising from the actions of its authorized users to the extent permitted by applicable law.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate reasonably with our defense of such claims.

The indemnification obligations contained in this section shall survive the suspension, termination, expiration, or discontinuation of your access to the Services.

Termination and Suspension

Termination by Users

Users may stop using the Services at any time.

Where applicable, users may request account deletion or account closure in accordance with our Privacy Policy and any organizational policies governing their access to the Services.

Termination of use does not relieve users or organizations of any obligations that arose prior to termination.

Organization-Controlled Accounts

Where access to the Services is provided through an organization, restaurant, hotel, business, or other entity, authorized administrators may suspend, restrict, modify, or terminate user access in accordance with the organization's policies and permissions.

We are not responsible for decisions made by organizations regarding user access, permissions, employment relationships, or account administration.

Suspension or Termination by the Company

We reserve the right, with or without notice, to suspend, restrict, disable, or terminate access to all or part of the Services if we reasonably believe that:

  • These Terms have been violated;
  • The Services are being used unlawfully or fraudulently;
  • A user poses a security, legal, operational, or reputational risk;
  • False, misleading, or unauthorized information has been provided;
  • Required fees or charges remain unpaid where applicable;
  • Continued access may harm the Services, other users, third parties, or the Company; or
  • Suspension or termination is required by law, regulation, court order, or governmental authority.

Effect of Suspension or Termination

Upon suspension or termination:

  • Access to all or part of the Services may immediately cease;
  • User accounts may be disabled;
  • Certain data, settings, content, or functionality may no longer be accessible;
  • Organizations may continue to have access to operational records and information associated with their accounts, subject to applicable permissions and retention practices; and
  • We may take reasonable steps necessary to protect the security, integrity, and operation of the Services.

Data Retention Following Termination

Information may be retained after suspension or termination as described in our Privacy Policy, including for legal, regulatory, security, audit, dispute resolution, fraud prevention, backup, and operational purposes.

No Liability for Suspension or Termination

To the fullest extent permitted by applicable law, Culinary Compass Advisors LLP shall not be liable for any loss, damage, interruption, business impact, or consequence resulting from the suspension, restriction, or termination of access to the Services in accordance with these Terms.

Survival

Any provisions of these Terms that by their nature should survive termination or expiration shall remain in effect, including provisions relating to intellectual property rights, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and other continuing obligations.

Governing Law and Dispute Resolution

Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Good Faith Resolution

Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith discussions and negotiations.

Users are encouraged to contact us first at contact@culinarycompass.in to seek an informal resolution of any concern or dispute.

Jurisdiction and Venue

Subject to applicable law, the courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the Services.

You agree to submit to the personal jurisdiction of such courts and waive any objection based on venue or forum.

Injunctive Relief

Nothing in these Terms shall prevent either party from seeking injunctive, equitable, or other urgent relief where necessary to protect intellectual property rights, confidential information, security interests, or other legal rights.

Changes to These Terms

We may update, modify, or revise these Terms from time to time to reflect changes in our Services, business practices, legal requirements, technologies, or operational needs.

When material changes are made, we will update the "Last Updated" date appearing at the beginning of these Terms and may provide additional notice through the Services, including through the OpsPilot mobile application, web application, email communications, or other appropriate channels.

We encourage users and organizations to review these Terms periodically.

Your continued access to or use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

If you do not agree with the revised Terms, you must discontinue use of the Services.
